Zenith Bank’s Bold Step: Acquiring Kenya’s Paramount Bank to Power Its Pan-African Ambition

Zenith Bank, one of Nigeria’s financial giants, is making a decisive move into East Africa by seeking to acquire Kenya’s Paramount Bank. This acquisition isn’t just about gaining new ground, it reflects Zenith’s strategy to build a true pan-African banking footprint.

The deal is underway, pending approvals from both Nigerian and Kenyan regulators. Paramount Bank is a mid-tier Kenyan bank with eight branches. As of the end of 2024, its core capital was around Sh 2.67 billion, putting it under pressure due to new Kenyan rules. The Central Bank of Kenya recently raised the minimum capital requirement for banks from Sh 1 billion to Sh 3 billion by the end of 2025, and ultimately to Sh 10 billion by 2029, a change expected to drive consolidation among smaller lenders.

For Zenith, the timing is opportune. The bank raised around $228 million early in 2025 through a mix of a rights issue and public offer. That capital boost puts it in a strong position to fund expansion outside Nigeria. This isn’t Zenith’s first continental push: it already has operations in Ghana, Sierra Leone, Gambia, and plans in Francophone Africa (e.g., Côte d’Ivoire).

From a financial-performance standpoint, Zenith is riding high. In its most recent results, the bank reported profit before tax of N1.3 trillion, significant growth in total assets, and strong liquidity. It also recently raised N350 billion via a capital raise, showing strong investor confidence. These funds, as Zenith’s leadership has said, will fuel not just domestic growth but cross-border expansion.

On the Kenyan side, Paramount has been steadily growing: in 2024, it reported a net profit of Sh 339.9 million and total assets of about Sh 15.9 billion, with a loan book of Sh 9.4 billion. But keeping up with Kenya’s rising capital demands is a challenge for a smaller bank, making a sale to a well-capitalized player like Zenith attractive.

The acquisition reflects broader pan-African banking consolidation driven by regulatory tightening in Kenya and capital-rich Nigerian banks expanding regionally. It enables Zenith to diversify revenue, tap East African trade finance, and support intra-African trade under the African Continental Free Trade Area (AfCFTA), while shoring up Paramount’s capital base.
