Nedbank Settles $34.8 Million Legal Dispute with Transnet

South African banking group Nedbank, under the leadership of CEO Jason Quinn, has reached a confidential settlement with state-owned logistics company Transnet, agreeing to pay R600 million ($34.8 million) to resolve a year-long dispute over interest-rate swap transactions. The settlement carries no admission of liability and is intended to preserve the long-standing business relationship between the two organisations.

The dispute arose from transactions conducted in 2015 and 2016, which Transnet and the Special Investigating Unit (SIU) argued resulted in undue payments to Nedbank. While authorities claimed the bank earned more than R2.7 billion ($157.6 million) from the swaps, Nedbank maintained that its gains were market-based and actually below R43 million ($2.5 million).

The swap deals had involved Regiments Capital, a firm linked to the controversial Gupta family, who were implicated in allegations of state capture under former President Jacob Zuma. Despite concerns raised during judicial inquiries about potential corruption, Nedbank asserted it had no knowledge of any collusion between Regiments and Transnet officials. Both parties described the settlement as being in the national interest, allowing continued support for infrastructure investment and economic growth.

Since taking the helm in May 2024, Jason Quinn has pursued regional expansion, strengthening Nedbank’s footprint across Southern and East Africa, including subsidiaries in Eswatini, Lesotho, Malawi, Mozambique, Namibia, and Zimbabwe, alongside strategic operations in Angola and Kenya.

Nedbank’s latest financial results show headline earnings of R8.4 billion ($467.7 million) for the six months ending June 30, 2025, a 6 percent increase from the prior year, while revenue rose 4 percent to R36.4 billion ($2 billion). The bank has adjusted its guidance for 2025, projecting low single-digit growth in diluted headline earnings per share and a return on equity around 15 percent, reflecting cautious optimism amid economic headwinds.

The resolution is expected to allow Nedbank and Transnet to focus on their core business objectives, supporting infrastructure and investment projects across the region while avoiding protracted litigation.
