NGX Allows Multi-Trex Strategic Plan to Grow Public Shareholding

Multi-Trex Integrated Foods Plc has won formal approval from the Nigerian Exchange (NGX) to pursue strategic actions aimed at expanding public ownership of its equity. This development follows a recapitalisation that significantly reduced the company’s free float, the portion of shares available to ordinary investors, below the minimum required threshold for its Main Board listing.

Under the NGX Regulation Company’s decision, Multi-Trex has been granted a 24-month moratorium, extending to January 14, 2028, to restore its public float to at least 20% of issued share capital or reach a market value of ₦20 billion, whichever is lower. This extension is a clear regulatory pathway that offers the company time to execute plans that will broaden its shareholder base while remaining compliant with market rules.

The need for the NGX’s approval stems from a recapitalisation exercise implemented after Multi-Trex resumed operations following a seven-year hiatus. As part of the recapitalisation, N-Foods Universal Concept Limited injected fresh capital to settle obligations with the Asset Management Corporation of Nigeria. In the process, N-Foods Universal emerged controlling roughly 70% of the company’s issued shares, leaving the public free float at just 7.23%, well below the NGX’s minimum free float requirement.

Free float is essential for market liquidity and investor participation; a low free float can restrict tradability and deter broader investor engagement. By authorising this moratorium, the NGX has balanced enforcement of market standards with the practical realities of Multi-Trex’s restructuring process.

In its communication to shareholders, Multi-Trex’s board stressed its commitment to preserving its listing status and outlined initiatives to boost public share ownership. Failure to achieve regulatory thresholds within the moratorium period could lead to suspension of trading in the company’s securities or, ultimately, delisting.

From an economic perspective, this approval signals NGX’s willingness to support capital-market recovery strategies while maintaining investor protection standards. Restoring public float not only satisfies regulatory criteria but also enhances market depth and can improve capital allocation efficiency, key factors for broader economic growth in Nigeria’s evolving financial markets.

Restoring an adequate free float will potentially expand Multi-Trex’s liquidity and appeal to a wider investor base, including institutional and retail participants. By doing so, the company could enhance price discovery mechanisms and facilitate a more efficient allocation of capital in the equities market. As Nigeria continues to promote deeper financial markets, regulatory flexibility paired with disciplined compliance will remain crucial to cultivating investor confidence.

The NGX’s nod for Multi-Trex to increase its public shareholding encapsulates a pragmatic approach to market regulation, balancing strict standards with transitional support for companies undergoing structural transformations. For Multi-Trex, successfully expanding its free float will not only meet listing rules but also reinforce its corporate governance and investor engagement, critical for long-term value creation in Nigeria’s capital market.
