At a recently convened Extraordinary General Meeting (EGM) in Lagos, shareholders overwhelmingly endorsed a comprehensive recapitalisation scheme that would see the company increase its current minimum share capital from approximately ₦11.08 billion to ₦36.08 billion. This proposed expansion of the capital base will be executed through a mix of rights issue and private placement, allowing existing shareholders and new investors to participate in the offer.
The decision to pursue this significant capital raise comes against the backdrop of Nigeria’s newly revised insurance capital requirements, introduced under the Nigerian Insurance Industry Reform Act (NIIRA) 2025. Under the updated regulatory framework, composite insurers, those offering both life and non-life products are required to maintain a minimum share capital of at least ₦25 billion. By targeting a much higher threshold of ₦36.08 billion, LASACO Assurance is not only aligning with statutory requirements but also signaling its readiness to deepen market penetration, enhance risk absorption capacity, and broaden its product offerings.
During discussions at the EGM, the company’s leadership emphasised that the capital increase would raise LASACO’s underwriting power, strengthen solvency margins, and improve operational flexibility in a highly competitive market. The board was entrusted with finalising the terms of the rights issue and private placement, securing all regulatory permits, and appointing the necessary professional advisers to execute the recapitalisation plan. This includes amending corporate documents such as the company’s Memorandum and Articles of Association to reflect the new capital structure.
